1.INTRODUCTION AND ACCEPTANCE OF TERMS
These Terms of Use (“Terms”) govern your access to and use of the website operated by WellWink Health, LLC (“Company”, “we”, “us”, “our”) as well as Company’s proprietary healthcare technology platform, patient and provider portals and related technology solutions (collectively the “Services”). The term “Platform” refers specifically to the technology platform and portals that form part of the Services. The Company is designed to support compliance with applicable healthcare, privacy, security, and data protection requirements relevant to the services it provides. While the Services incorporate administrative, technical, and organizational measures intended to promote secure and compliant use, users remain responsible for ensuring that their use of the Services complies with all applicable laws, regulations, and professional obligations. Please read the Terms carefully before you start to use the Services. By accessing and using the Services, you accept and agree to be bound by these Terms. If you do not want to agree to these Terms, you must not access or use the Services. We may modify these Terms at any time and without notice to you, in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services after any changes are posted, constitutes your acceptance of the updated Terms. Your use of the Services is also subject to the Company’s Privacy Policy, which explains how we collect, use, and protect personal information.
2. YOUR USE OF THE SERVICE
To access the Service, you may be required to provide accurate identification, contact details, and other information, including images and medical history. You are responsible for maintaining the accuracy and completeness of this information. You certify that the information provided is, to the best of your knowledge, true and accurate.
Neither we nor our providers shall be liable for a diagnosis or opinion offered based on inaccurate information provided by you. Use of the Service is not a substitute for an in-person visit with a qualified healthcare provider.
By sending an appointment request, you consent to WellWink Health and the Medical Center granting access to your profile and medical chart to relevant staff and doctors. If you visit a new facility already using WellWink Health systems, they may search for your profile by name or phone number. However, they are not authorized to access your full medical record until you provide consent via a Verification Code (SMS) or Knowledge-Based Authentication (KBA).
Account Security & Verification:
- You must provide a valid phone number and email address to use the “Book Appointment Online” service.
- We will send a six-digit verification code to both your phone and email to verify your identity.
- Until verified, your ability to book appointments with doctors or facilities may be limited; however, you may still use other online services, such as uploading medical charts or adding family profiles.
- If your contact information changes, you must update it in the demographic section and complete the verification process again.
- You are responsible for maintaining the confidentiality of your account credentials and for restricting access to the devices through which you access the Services. You agree to notify us immediately if you suspect any unauthorized use of your account, compromise of your login credentials, or any other security breach. You are solely responsible for all activities conducted under your account, whether or not authorized by you.
3. PATIENT MASTER INDEX (PMI)
When you register as a patient through the website, a unique patient profile is created for you within our Patient Master Index (“PMI”). The PMI is used to maintain a single, unified patient identity and to assign a Medical Record Number (“MRN”) that remains consistent across all participating facilities and systems.
To create and maintain this unique profile, we may use identifying information such as your name, date of birth, gender, mobile number, email address, and physical address. These identifiers are used solely to ensure accurate patient matching and to prevent duplicate or fragmented medical records.
By submitting an appointment request through the website, you authorize us and the participating medical facility to access your PMI profile and the portions of your medical chart necessary to process your request and coordinate your care. Access is limited to authorized personnel involved in scheduling, care coordination, or clinical review.
If you visit a new facility that uses our systems, staff may search for your profile using your name or mobile number to determine whether a PMI record already exists. However, they may not access your full medical record unless you provide explicit consent, which may be obtained through a verification code sent to your mobile device (SMS), or knowledge-based authentication (KBA) methods.
No facility or provider is permitted to view your complete medical chart without your express authorization.
Where the processing of your personal information is based on your consent, you may withdraw that consent at any time. Withdrawal of consent does not affect the lawfulness of processing carried out before such withdrawal and may be subject to applicable legal obligations, healthcare record-retention requirements, and contractual commitments.
4. ELIGIBILITY
You may use the Services only if you are at least 18 years old, have legal authority to enter into these Terms or a patient, authorized user, or representative of a healthcare provider using the Services. If you are using the Services on behalf of a healthcare organization, you represent that you are authorized to do so.
5. DESCRIPTION OF SERVICES
We develop, host, and support a proprietary healthcare technology platform designed to facilitate the management, coordination, and monitoring of patients with chronic and complex health conditions and provides a gateway for exchange of health information between patients, physicians and medical service providers. Our Services support Chronic Care Management (CCM), Principal Care Management (PCM), Behavioral Health Integration (BHI), Transitional Care Management (TCM), Remote Patient Monitoring (RPM), Remote Therapeutic Monitoring (RTM), Telehealth, patient engagement, care coordination workflows Healthcare operations and administrative support.
Certain features of the Services may utilize automated technologies, analytics tools, or artificial intelligence capabilities to support administrative, operational, communication, care coordination, healthcare workflow functions, or analytical purposes. Such technologies are not intended to replace professional medical judgment, diagnosis, treatment, or clinical decision-making.
Certain features of the Services may integrate with or rely on third-party medical devices, monitoring equipment, wearable technologies, healthcare systems, or electronic health record (EHR) platforms. These third-party products and systems are not manufactured, controlled, or operated by us. We make no independent representations or warranties regarding the performance, accuracy, availability, interoperability, regulatory status, or fitness for a particular purpose of any such third-party devices or systems. Your use of any third-party integrations is subject to the terms, conditions, and regulatory obligations applicable to those third-party products and services.

- OUR SERVICES ARE NOT INTENDED FOR USE IN MEDICAL EMERGENCIES. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.
- NO CONTENT PROVIDED THROUGH THE SERVICES INCLUDING THE WEBSITE SHALL BE CONSTRUED AS MEDICAL ADVICE OR AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT.
- WE DO NOT ENDORSE, WARRANT, OR GUARANTEE ANY HEALTHCARE PROVIDER, CLINICAL ADVICE, TREATMENT PLAN, OR MEDICAL INFORMATION ACCESSED THROUGH THE WEBSITE. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF ANY INFORMATION OBTAINED THROUGH THE WEBSITE.
Where we process Protected Health Information (“PHI”) on behalf of healthcare providers, healthcare organizations, or other authorized entities, we do so solely as a technology service provider and in accordance with applicable contractual and regulatory requirements, including healthcare privacy and security obligations such as HIPAA, where applicable. We do not provide medical services, diagnosis, treatment, or clinical decision-making, and are not a healthcare provider or covered entity. All clinical decisions, medical advice, and patient care responsibilities remain exclusively with the appropriate licensed professionals.
6. FEES & PAYMENTS
Payments made through the Services are processed exclusively by a third-party payment processor. We do not receive, store, or control your credit card information or other financial data. The third-party processor is solely responsible for securely handling your payment information, and your use of its services is governed by its separate terms and conditions.
All billing inquiries, refunds, chargebacks, or disputes must be directed to the payment processor or to info@wellwink.com. We are not liable for any payment-related issues, including processing errors, unauthorized transactions, or service interruptions. By submitting a payment through the Services, you agree to indemnify and hold the Company harmless from any claims or damages arising from your use of the payment processor.
7. USER SUBMISSIONS (IMAGES, VIDEO, AUDIO)
You may upload images, videos, audio files, or other media (“User Submissions”) only if you own the content or have obtained all necessary rights, licenses, and permissions to upload, transmit, or share it through the Services. You agree not to upload any media that infringes or violates the copyrights, trademarks, privacy rights, publicity rights, or other legal rights of any person or entity. You are strictly prohibited from uploading media that contains:
- hate speech, abusive content, or offensive imagery.
- Pornography or sexually explicit material.
- Malware, viruses, or any harmful or malicious code.
By uploading User Submissions, you grant the Company a non-exclusive, worldwide, royalty-free, revocable license to host, store, reproduce, and display such media solely for the purpose of operating, maintaining, and providing the Services, and as otherwise described in the Company’s Privacy Policy. This license does not permit the Company to sell, publicly distribute, or use your media for unrelated commercial purposes. You remain solely responsible for your User Submissions and for ensuring that they comply with these Terms and all applicable laws.
8. INFORMATION ABOUT YOU AND YOUR USE OF THE SERVICES
All information we collect through the Services, including the Website, is subject to our Privacy Policy. By accessing or using the Services, you consent to the collection, use, disclosure, and handling of your information in accordance with the Privacy Policy.
We maintain administrative, technical, and organizational safeguards designed to protect personal information and health-related information against unauthorized access, disclosure, alteration, or destruction. These safeguards may include encryption, access controls, authentication mechanisms, monitoring, and other security measures appropriate to the nature, sensitivity, and risk profile of the information processed through the Services. While we implement measures intended to enhance security, no system can guarantee absolute protection, and users are responsible for maintaining appropriate security protections on their own devices and networks.
Depending on your location and the laws that apply to you, you may have certain rights regarding your personal information, which may include the rights of access, correction, deletion, restriction, objection, and data portability. Where the processing of your personal information is based on your consent, you may withdraw that consent at any time. 9. INTERNATIONAL USERS
If you access the Services from outside the United States, you acknowledge that your personal information may be processed, accessed, or stored in jurisdictions that may have data protection laws different from those in your country of residence. Where required by applicable law, we will implement appropriate safeguards to protect personal information transferred internationally. Where personal information is transferred across national borders, we implement appropriate contractual, organizational, and technical safeguards as required by applicable data protection laws.
10. ACCEPTABLE USE RESTRICTIONS
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
- in violation of any applicable federal, state, local, or international law or regulation (including export-control laws governing the transfer of data or software);
- to exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content or soliciting personally identifiable information;
- to impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including by using email addresses or identifiers associated with any of the foregoing);
- to engage in conduct that restricts or inhibits any person’s use or enjoyment of the Services, or that, as determined by the Company, may harm the Company or users of the Services or expose them to liability.
In addition, you agree not to:
- use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Services, including their ability to engage in real-time activities;
- use any robot, spider, scraper, or other automated device, process, or means to access the Services for any purpose, including monitoring or copying any material on the Services;
- use any manual process to monitor or copy any material on the Services or for any other unauthorized purpose without our prior written consent;
- use any device, software, or routine that interferes with the proper functioning of the Services;
- introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material;
- attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services, the servers on which the Services are hosted, or any server, computer, or database connected to the Services;
- attack the Services via a denial-of-service attack or a distributed denial-of-service attack;
- otherwise attempt to interfere with the proper operation of the Services.
Without limiting the foregoing, the Company reserves the right to fully cooperate with any law-enforcement authority or court order requesting or directing the Company to disclose the identity or other information of any person posting or transmitting materials through the Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY OR SUCH PARTIES DURING, OR AS A CONSEQUENCE OF, INVESTIGATIONS BY THE COMPANY, SUCH PARTIES, OR LAW-ENFORCEMENT AUTHORITIES.
