These Terms of Use (“Terms”) govern your access to and use of the Site and related services. Please read them carefully before using the Site and services. As we add new functionality, we may revise these Terms periodically. If we do, we will post the changes here. Your continued use of the Site after any changes are posted constitutes your acceptance of the updated Terms. These Terms incorporate the terms set forth in the WellWink Health Privacy Policy; both documents shall be considered a singular agreement.

1. Your Use of the Service

To access the Service, you may be required to provide accurate identification, contact details, and other information, including images and medical history. You are responsible for maintaining the accuracy and completeness of this information. You certify that the information provided is, to the best of your knowledge, true and accurate.

Neither WellWink Health nor its providers shall be liable for a diagnosis or opinion offered based on inaccurate information provided by you. Use of this Service is not a substitute for an in-person visit with a qualified healthcare provider.

Account Security & Verification:

• You must provide a valid phone number and email address to use the “Book Appointment Online” service.
• WellWink Health will send a six-digit verification code to both your phone and email to verify your identity.
• Until verified, your ability to book appointments with doctors or facilities may be limited; however, you may still use other online services, such as uploading medical charts or adding family profiles.
• If your contact information changes, you must update it in the demographic section and complete the verification process again.
• You are fully responsible for all activities under your account. Notify WellWink Health immediately of any unauthorized use or security breaches.

2. Patient Master Index (PMI)

By signing up as a patient via the Site, you automatically become part of the Patient Master Index (PMI). This is used to maintain a unique profile and Medical Record Number (MRN) for each patient. Parameters such as Name, Date of Birth, Gender, Mobile Number, Email, and Address may be used to identify and maintain unique patient records nationwide.

By sending an appointment request, you consent to WellWink Health and the Medical Center granting access to your profile and medical chart to relevant staff and doctors. If you visit a new facility already using WellWink Health systems, they may search for your profile by name or phone number. However, they are not authorized to access your full medical record until you provide consent via a Verification Code (SMS) or Knowledge-Based Authentication (KBA).

3. Age Requirements

You must be at least 18 years of age to use this Service. If you are under 18, a legal guardian must act on your behalf.

4. Description of Services

WellWink Health is an online appointment booking and messaging gateway that facilitates the exchange of health information between patients, physicians, and medical service providers (e.g., pharmacies and healthcare facilities). Information may also be used for research purposes to improve care coordination, limited to demonstrating the benefits of the portal.

5. User Submissions (Images, Video, Audio)

You agree to only upload media that you own or have the full rights to transmit. You must not violate trademarks, copyrights, or privacy rights. It is strictly prohibited to upload media containing:

• Expressions of hate, abuse, or offensive imagery.
• Pornography or sexually explicit material.
• Software viruses or malicious code.

By uploading media, you grant WellWink Health a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, and distribute said media for the purpose of providing the Service and as permitted by our Privacy Policy.

6. Fees & Payments

WellWink Health uses a third-party processor for payments. WellWink Health does not collect or store your credit card or financial information. Any issues with payments should be directed to the third-party processor or info@wellwink.com. You agree to indemnify WellWink Health against any claims resulting from your use of the payment processor.

7. Intellectual Property & Trademarks

All “Service Content” (text, software, logos, etc.) is protected by copyright and trademark laws. You are granted a limited license for personal, non-commercial use only. You may not scrape, data-mine, or reverse-engineer any part of the Service. The WellWink Health name and logo are proprietary trademarks and may not be used without prior written permission.

8. Limitation of Liability

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. The service is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, WellWink Health shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of the Service. In no event shall WellWink Health’s total liability exceed the greater of the average monthly fee paid by you or One Hundred Dollars ($100).

9. Dispute Resolution by Binding Arbitration

Most concerns can be resolved via info@wellwink.com. If informal resolution fails, we agree to resolve disputes through binding arbitration or small claims court rather than a court of general jurisdiction.

• No Class Actions: You may only bring claims against WellWink Health in an individual capacity.
• Arbitration Process: A party seeking arbitration must first send a written “Notice of Dispute” to WellWink Health LLC, 100 Enterprise Drive, Suite 301 Rockaway, NJ 07866.
• Rules: The arbitration will be governed by the American Arbitration Association (AAA) Rules.
• Fees: WellWink Health will pay all AAA filing and arbitrator fees for claims initiated in accordance with these rules. However, if you seek more than $75,000 in damages, the payment of fees will be governed by the AAA Rules for large claims.

10. Termination

WellWink Health reserves the right to suspend or terminate your account at our sole discretion for any reason, including fraudulent or illegal activity. Healthcare providers may also terminate their association with you through the Service at any time.
